Quallaa LLC — Associate Agreement

This agreement ("Agreement") is between Quallaa LLC ("Quallaa") and the undersigned individual ("Associate"). It establishes the terms of a non-employment professional affiliation.

1. Relationship

Associate is not an employee, contractor, or agent of Quallaa. This Agreement does not create an employment relationship, partnership, or joint venture. Associate is not authorized to enter into agreements or incur obligations on behalf of Quallaa. Associate may represent themselves as a "Quallaa Associate" on professional profiles including LinkedIn, but not as an employee, partner, or officer of Quallaa.

2. Associate Obligations

• Complete the four required Anthropic Academy courses
• Represent Quallaa professionally in all interactions
• Be available for paid engagements as they arise
• Maintain confidentiality of non-public business information

3. What Quallaa Provides

• Professional affiliation — Associate may represent themselves as a "Quallaa Associate" on professional profiles
• Access to Anthropic Academy courses at no cost
• Access to the Claude Certified Architect (CCA) exam upon Quallaa's admission to the Claude Partner Network
• First consideration for paid engagements

4. Compensation

This affiliation does not include a salary, equity, revenue share, or any form of guaranteed compensation. When paid engagements arise, Associate will be compensated at rates agreed upon before work begins. Quallaa is not obligated to provide any minimum amount of work.

5. Intellectual Property

Work performed under Quallaa engagements — including deliverables, code, training materials, and client-facing work product — belongs to Quallaa. Associate's personal projects, prior work, and general skills remain Associate's property. Certifications earned (e.g., CCA) belong to the Associate personally.

6. Accounts and Resources

Any accounts or resources provisioned under Quallaa's systems are Quallaa property. Associate will return access to these accounts and resources if the relationship ends, for any reason.

7. Non-Solicitation

During the affiliation and for twelve (12) months after its termination, Associate will not directly solicit Quallaa clients for competing services. This does not restrict Associate from working independently or for other organizations, provided they do not target Quallaa's existing client relationships.

8. Confidentiality

Associate will not disclose non-public business information, client details, proprietary methods, or internal communications to third parties. This obligation survives termination of the relationship.

9. Representations

Associate will not misrepresent Quallaa's capabilities, its relationship with Anthropic, or the Associate's own authority to act on Quallaa's behalf. Associate will accurately represent their role as an associate, not an employee or partner.

10. Termination

Either party may end this relationship at any time, for any reason, with written notice. Email is sufficient. Upon termination, Associate will return access to all Quallaa accounts, resources, and materials. Sections 5, 7, 8, and 9 survive termination.
